Terms of Use

The following terms of use govern the use of BusinessGPT and constitute a legally binding agreement between the user and Eraneos:

License and Right of Use

• BusinessGPT is offered as Software-as-a-Service (SaaS) and is subject to the terms of the agreed license. • The license grants a non-exclusive, non-transferable, revocable right to use the software for internal business purposes. • Any use beyond the agreed scope requires additional written approval. • The transfer of access data to third parties is prohibited.

Intellectual Property

• All rights to BusinessGPT, including copyrights, trademark rights, and other intellectual property rights, remain with Eraneos or its licensors. • Users do not acquire ownership of the software or its components. • Output and results generated through the use of BusinessGPT are subject to the agreed license terms.

Prohibited Use

The use of BusinessGPT is expressly prohibited for the following purposes: • Illegal activities or violation of third-party rights • Processing of special categories of personal data in accordance with Art. 9 GDPR without an appropriate legal basis • Circumvention of security measures or unauthorized access to systems • Excessive strain on the infrastructure or disruption of the service • Reverse engineering, decompiling, or disassembling the software • Use to support business-critical functions or processes, especially in financial companies (support of critical or important functions whose failure would significantly impair the financial performance of a financial company or the soundness or continuity of its business activities and services in accordance with Regulation (EU) 2022/2554 would significantly impair the financial capacity of a financial company or the soundness or continuity of its business activities and services, or whose interrupted, faulty, or omitted performance would significantly impair the continued compliance of a financial company with its licensing conditions and obligations or its other obligations under applicable financial services law) • Use in essential and important facilities (supporting network and information systems that these facilities use for their operation or for the provision of their services, or risk management measures in the area of cybersecurity for these network and information systems in accordance with the Directive on measures for a high common level of cybersecurity Directive (EU) 2022/2555) • Use as an AI system for a purpose or application that is classified as high risk in accordance with the Regulation laying down harmonized rules on artificial intelligence (EU) 2024/1689

Warranty

• BusinessGPT is provided “as is” without any express or implied warranty, to the extent permitted by law. • Eraneos does not guarantee that BusinessGPT will function without interruption or error. • No warranty is given for the accuracy, completeness, or reliability of the content generated by BusinessGPT.

Limitation of Liability

• Eraneos’ liability is limited to intent and gross negligence, to the extent permitted by law. • Eraneos is not liable for indirect damages, consequential damages, lost profits, or data loss. • Maximum liability is limited to the fees paid by the customer for the service in the last 12 months. • Users are responsible for reviewing and validating all content generated by BusinessGPT before using or implementing it.

Generated content

• BusinessGPT uses AI technology to generate content based on user input and pre-trained data. • The generated content may be inaccurate, incomplete, or misleading and should always be critically reviewed. • Users are solely responsible for the use and consequences of the generated content.

Data Input and Processing

• Users are responsible for ensuring that they have the necessary rights to process the data entered into BusinessGPT. • The entry of copyrighted material without appropriate authorization is prohibited. • Users must comply with all applicable laws and regulations regarding data entry and processing.

Changes to the Terms of Use

Eraneos reserves the right to change these Terms of Use at any time. Users will be notified of any significant changes with reasonable notice. Continued use of BusinessGPT after such changes constitutes acceptance of the amended terms.

Applicable law and place of jurisdiction

These Terms of Use are governed by the laws of the country in which Eraneos has its headquarters, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is the registered office of Eraneos, to the extent permitted by law.

Third-Party Terms

These legal notices supplement the existing contractual agreements between Eraneos and its customers. In the event of any conflict, the individual contractual agreements shall prevail.
